About the Opportunity:
We are seeking a highly skilled and experienced Corporate Paralegal to join our legal team. This individual will play a critical role in supporting our executive management, board members, and advisors. Reporting directly to the General Counsel & Secretary, the successful candidate will be responsible for a wide range of corporate governance, securities, and legal operations tasks.

Responsibilities:
Corporate Governance:
  • Manage Board and committee meetings, including preparation of materials, minutes, and resolutions.
  • Oversee director onboarding and offboarding.
  • Maintain corporate records and support governance-related inquiries.
Securities:
  • Support SEC filings, including Forms 3, 4, 5, 10-K, 10-Q, and 8-K.
  • Coordinate annual shareholder meetings and proxy materials.
  • Ensure compliance with SEC, NYSE, and other regulatory requirements.
Legal Operations:
  • Manage domestic subsidiary matters, including formations, dissolutions, and filings.
  • Maintain legal entity documentation and compliance.
  • Track contracts and licenses.
  • Assist with document management and closing processes.
  • Perform special projects as assigned.

Qualifications:
  • Minimum of ten years of corporate legal experience with a strong foundation in governance and securities.
  • Bachelor’s degree and paralegal certification preferred.
  • Demonstrated expertise in securities and corporate laws.
  • Real estate experience preferred.
  • Exceptional written and verbal communication skills.
  • Proficiency with electronic board portals and financial printers.
  • Meticulous attention to detail and strong organizational abilities.
  • Ability to prioritize workload and manage multiple deadlines in a dynamic environment.
